Terms of sale

1. Scope
These terms govern the sale, by DiGiFoxy LLC (30 N Gould St Ste R, Sheridan, WY 82801, United States, EIN 98-1969868, hereafter "Digifoxy"), of turnkey online shops together with the hosting, maintenance and support that come with them, to any individual or company that subscribes to an offer, hereafter the "Customer".
Subscribing means accepting these terms as published on the day of the order.
2. Definitions
- Shop
- The storefront deployed for the Customer, served on the Customer's own domain and under the Customer's own brand.
- Offer
- One of the plans described in section 3, subscribed monthly or yearly.
- Setup fee
- The one-off initial work: server, domain, certificate, visual identity and starting catalogue.
- Shopper
- The Customer's own customer, that is, whoever buys a product on the Shop.
3. Offers and prices

Digifoxy takes no commission on the Shop's sales. Shoppers' payments are collected directly into the Customer's own payment accounts and never pass through Digifoxy.
Prices may change. A change never applies to a period already paid for and is announced by email at least thirty days before it takes effect; a Customer who declines it may cancel under section 7.
Taxes
Digifoxy is a United States company. Invoices are issued without value added tax. A business Customer established in the European Union is, where applicable, liable for VAT in its own member state under the reverse charge mechanism. It is for the Customer to declare and pay any tax due in its own country.
4. Orders
Orders are placed online at digifoxy.com. The Customer picks an offer and a billing period, provides contact details and the desired domain name or names, and pays by card. The contract is formed when the first payment is collected; a confirmation email restates the offer, its price and its renewal date.
Digifoxy may decline an order, in particular where the stated activity falls under section 9 or where the payment carries an obvious risk of fraud. Any amount already collected is refunded in full.
5. Payment
Payments are processed by Stripe Payments Europe, Ltd. Digifoxy never has access to card numbers, which are neither transmitted to nor stored on its servers.
The subscription is charged in advance, on the anniversary of the subscription date, until cancelled. If a charge fails, Digifoxy notifies the Customer and retries for seven days. After that the Shop may be suspended; it is restored as soon as payment succeeds, with no reactivation fee.
6. Go-live
The Shop goes live within 48 business hours from the moment two conditions are met: the domain name is available or delegated, and the Customer's payment account is active. That window does not include building the catalogue, which depends on the information the Customer supplies.
The Customer supplies what is needed: trading identity, logo and colours where applicable, product descriptions, access to its payment account. A delay caused by missing information does not postpone subscription due dates.
7. Term, renewal and cancellation
The subscription carries no minimum term. It renews automatically at each due date, monthly or yearly.
- The Customer may cancel at any time, from the admin area or by email to [email protected].
- Cancellation takes effect at the end of the current period, which has already been paid for. That period is not refunded pro rata.
- No notice is required beyond the due date itself.
- Digifoxy may terminate on thirty days' notice, refunding pro rata the unused part of the period paid for.
When the contract ends, the Customer keeps its domain name, the content of its Shop and its sales data, which are handed over in a usable format on request made within thirty days of the end of the contract. After that, the data may be deleted permanently.
8. Withdrawal and refunds
8.1 Consumer Customers
A Customer subscribing outside any business activity has fourteen days from the formation of the contract to withdraw, with no reason and no penalty, by writing to [email protected].
Where such a Customer asks for immediate go-live, they acknowledge that performance starts before that period ends. If they withdraw once the setup work has been performed, the setup fee remains due; the subscription is refunded pro rata for the days not used. Once the service has been fully performed at their express request, the right of withdrawal can no longer be exercised.
8.2 Business Customers
The statutory right of withdrawal does not apply. Digifoxy nevertheless grants a full refund, setup fee included, if the Shop is not live within seven days of the conditions in section 6 being met, for a reason attributable to Digifoxy.
8.3 After go-live
Once the Shop is live the setup fee is not refundable: the work has been done. Subscription periods already paid for are not refunded, except where a service interruption attributable to Digifoxy lasts more than 48 consecutive hours, which gives a right to a pro rata refund for the days concerned, on request.
Refunds are issued to the payment method used for the order, within fourteen days of being accepted.
What Digifoxy does not refund: sales made by a Shop. Digifoxy does not collect that money and is not the seller. A refund request for a product bought on a Shop must go to the operator of that Shop, whose details appear on its own legal pages.
9. What the Customer undertakes
The Customer is the seller of the products listed on its Shop and is solely responsible for them: lawfulness, conformity, description, price, warranty, after-sales service, and tax and reporting obligations.
The Customer undertakes not to use the Shop to sell or distribute:
- keys, licences or accounts obtained fraudulently, stolen, or resold in breach of their publisher's terms;
- infringing content or software, or any means of circumventing a technical protection measure;
- goods whose sale is prohibited or regulated, without holding the required authorisations;
- any unlawful content, hate speech, child sexual abuse material, or incitement to violence.
The Customer indemnifies Digifoxy against any claim by a third party, a Shopper or an authority arising from the content of its Shop or the products it sells there.
10. Availability and support
Digifoxy uses reasonable efforts to keep the Shop reachable at all times, without guaranteeing uninterrupted availability. Scheduled maintenance is announced in advance and carried out outside busy hours where possible.
Support is provided by email. A quantified service level commitment is available only under the Custom offer and is then set out in a separate document.
11. Intellectual property
The software that runs the Shop remains the property of Digifoxy. For the term of the contract the Customer holds a personal, non-exclusive, non-transferable right to use it to operate its own Shop. The Customer may not resell it, sublicense it, or derive a competing product from it.
The Customer remains the owner of its brand, its domain name, its content and its data, and grants Digifoxy the right to host and display them solely as needed to perform the contract.
12. Liability
Digifoxy's liability is limited to direct and foreseeable loss, and capped at the amounts actually paid by the Customer over the twelve months preceding the event giving rise to the claim. It does not cover loss of business, revenue, goodwill, or data the Customer failed to keep a copy of.
This limitation does not apply to gross negligence, wilful misconduct, personal injury, or anywhere the applicable law forbids it.
13. Suspension for breach
Digifoxy may suspend a Shop without notice in the event of a serious breach of section 9, an order from a public authority, or a clear threat to the security of its infrastructure. The Customer is informed immediately and the suspension is lifted as soon as the cause is gone.
14. Personal data
Personal data processing is described in the privacy policy. As regards Shoppers' data, the Customer is the controller and Digifoxy acts as processor, on the Customer's instructions only.
15. Changes to these terms
Digifoxy may change these terms. Any substantial change is notified by email thirty days before it takes effect. A Customer who declines it may cancel free of charge before that date.
16. Governing law and disputes
This contract is governed by the law of the State of Wyoming, United States. This clause does not deprive a consumer Customer of the mandatory protections in force in their country of habitual residence, nor of the right to bring proceedings in that country.
